HÉROUX-DEVTEK'S ANNOUNCES TREASURY ISSUE OF COMMON SHARES
Héroux-Devtek Inc. (TSX : HRX) announced today that it has entered into an underwriting agreement with a syndicate of dealers led by National Bank Financial Inc. and GMP Securities Ltd., and including Raymond James Ltd. and Versant Partners Inc. for the purchase, on a bought deal basis, of an aggregate of 4,500,000 common shares (the "Shares") at a price of $3.75 per Share, issued and sold by Héroux-Devtek from treasury. The offering will result in total gross proceeds of $16,875,000. The Company also granted to the underwriters of the offering an over-allotment option, exercisable within 30 days of closing, to acquire an additional 250,000 shares.

REPORTS FIRST QUARTER RESULTS.
Héroux-Devtek Inc. (TSX: HRX) today reported results for
the first quarter of fiscal 2006, which ended June 30, 2005. Sales
for the first quarter were $53.9 million, up 3.1% from $52.3 million
for the first quarter of fiscal 2005. The Company reported a net
loss from continuing operations of $2.4 million or a loss of $0.09
per share for the first quarter compared to a net loss from continuing
operations of $1.4 million or a loss of $0.05 per share for the
first quarter of the preceding fiscal year. Net income for the quarter
was $6.4 million or $0.24 per share, compared to a net loss of $1.3
million or $0.05 per share for the first quarter of fiscal 2005.
Net income for the quarter included an $8.6 million after-tax gain
on the sale of its Logistics & Defence Division, Diemaco.

PROVIDES FIRST QUARTER UPDATE.
Héroux-Devtek Inc. (TSX: HRX) a leading Canadian manufacturer
of aerospace and industrial products, today advised that revenues
and earnings for the first quarter ended June 30, 2005 are expected
to be less than current analyst estimates. The Company anticipates
a net loss from continuing operations for the first quarter of about
$0.09 per share on sales of approximately $54 million compared to
a net loss from continuing operations of $0.05 per share on sales
of $52.3 million for the first quarter ended June 30, 2004. Compared
to last year, the lower anticipated earnings are primarily due to
delays in deliveries and the continued high level of the Canadian
dollar.

Héroux-Devtek Inc. (TSX: HRX) a leading Canadian manufacturer of aerospace and industrial products, today reported results for its fourth quarter and fiscal year ended March 31, 2005 (fiscal 2005). Sales for fiscal 2005 were $233.0 million, up 20.9% from $192.7 million for the year-ended March 31, 2004 (fiscal 2004). For fiscal 2005, the Company reported a net loss from continuing operations of $4.3 million compared to a net loss from continuing operations of $4.0 million in fiscal 2004. The net loss for the year was $2.1 million or $0.08 per share, compared to a net loss of $2.3 million or $0.10 per share for fiscal 2004

of renewing the Ratification of this collective agreement comes
on the heels of an agreement in principle reached last week with

and its employees to better deal with strategic issues in the aerospace
industry.

REPORTS THIRD QUARTER RESULTS AND ANNOUNCES SALE OF LOGISTICS &
DEFENCE DIVISION, DIEMACO.
Héroux-Devtek Inc. (TSX: HRX) a leading Canadian manufacturer
of aerospace and industrial products, today reported results for
the third quarter and nine months ended December 31, 2004. Net loss
for the most recent three month period was reduced to $887 thousand
or a loss of $0.03 per share, compared with a loss for the same
period a year ago of $1.6 million or a loss of $0.07 per share.
Consolidated sales for the third quarter rose 39.3% to $63.0 million
from $45.2 million last year, mainly due to the acquisition of Progressive
Inc. Net loss for the nine months totalled $3.8 million or a loss
of $0.14 per share versus a $3.3 million net loss or a loss of $0.14
per share last year. Consolidated sales for the year-to-date increased
19.7%, rising to $180.4 million from $150.8 million last year.

of an agreement with Colt Defense LLC of West Hartford, Connecticut
for the sale of its Logistics & Defence Division, Diemaco. The
basic sale price was established at $16.5 million, subject to certain
working capital adjustments.
